These Terms and Conditions (“Terms”) govern your use of the Herivium mobile app and website (together, the “Platform”) operated by Herivium Limited (“Herivium”, “we”, “us”), a company registered in Nigeria with its registered address at 28 Bello Street Mushin, Mushin, Lagos, Nigeria.
By creating an account, making a booking, or listing on the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.
Part A applies to everyone. Part B applies to customers making bookings. Part C applies to vendors listing places, events or packages. Our Privacy Policy and Refund & Cancellation Policy form part of these Terms.
Part A — General terms
1. What Herivium does
Herivium is a platform for discovering and booking cultural places, events and packages (“Experiences”) in Lagos and across Nigeria. Experiences are operated by independent venues, event organisers and tour operators (“Vendors”). Herivium Limited sells bookings for Experiences to customers and pays Vendors for delivering them.
Herivium does not operate venues, run events or provide transport or accommodation itself. The Vendor is responsible for delivering the Experience as described in its listing.
2. Eligibility and accounts
- You must be at least 13 years old to create an account.
- If you are under 18, you must have the permission of a parent or guardian to create an account, and any booking you make must be paid for using a parent or guardian’s payment method. The parent or guardian is the contracting party for that booking and is responsible for it under these Terms.
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your login details secure and for all activity on your account. Tell us immediately at info@herivium.com if you believe your account has been accessed without your permission.
- One person may hold one customer account. We may suspend or close accounts that breach these Terms.
3. Acceptable use
You must not:
- use the Platform for any unlawful purpose or in breach of any applicable law;
- make bookings you do not intend to honour, or use stolen or unauthorised payment methods;
- share, resell or transfer visit PINs or QR codes except to guests included in your booking;
- post reviews or content that are false, defamatory, abusive, discriminatory or that infringe anyone’s rights;
- scrape, copy or reproduce Platform content or listings without our written permission;
- interfere with the Platform’s operation, attempt to bypass security, or access other users’ data.
4. Content and intellectual property
- The Platform, its design, software, text, images and branding belong to Herivium or its licensors and are protected by intellectual property laws. You may not use them except as needed to use the Platform.
- Content you post (reviews, photos, ratings) remains yours, but you grant Herivium a worldwide, royalty-free licence to use, display and distribute it on the Platform and in our marketing for as long as it remains on the Platform. You confirm you have the right to post it.
- We may remove content that breaches these Terms without notice.
5. Availability
We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend the Platform for maintenance or updates. We are not liable for loss caused by the Platform being unavailable.
6. Liability
- Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
- Subject to that, Herivium’s total liability to you in connection with any booking is limited to the amount you paid for that booking.
- Herivium is not liable for indirect or consequential loss, loss of enjoyment, or loss caused by matters outside our reasonable control.
- Experiences may involve physical activity, travel or outdoor conditions. You are responsible for assessing whether an Experience is suitable for you and your guests, and for following the Vendor’s safety instructions.
7. Indemnity
You agree to compensate Herivium for any loss, claim or cost arising from your breach of these Terms or your misuse of the Platform.
8. Termination
You may close your account at any time from the app’s settings or by emailing us. We may suspend or close your account, with notice where reasonably possible, if you breach these Terms, if we are required to by law, or if we stop operating the Platform. Bookings already made will be honoured or refunded in line with the Refund & Cancellation Policy.
9. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and notify you in the app or by email if changes are material. Continued use of the Platform after changes take effect means you accept them. Bookings already made are governed by the Terms in force when they were made.
10. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, contact us first at info@herivium.com and we will try to resolve it within 14 days. If we cannot, the dispute will be referred to mediation in Lagos, and failing that to the courts of Lagos State, Nigeria, which have exclusive jurisdiction.
11. General
If any part of these Terms is found unenforceable, the rest remains in force. Our failure to enforce a right does not waive it. You may not transfer your rights under these Terms; we may transfer ours to a successor business. These Terms, the Privacy Policy and the Refund & Cancellation Policy are the entire agreement between you and Herivium regarding the Platform.
Part B — Customer terms
12. Making a booking
- A booking is confirmed when you receive a booking confirmation with a visit PIN or QR code. Until then, no contract exists.
- The price shown at checkout is the total you will pay, inclusive of any service fee and applicable taxes. Prices are in Nigerian Naira unless stated otherwise.
- Listing descriptions, photos and opening times are provided by Vendors. We take reasonable steps to keep them accurate but cannot guarantee them; the Vendor is responsible for the Experience matching its listing.
- Bookings are personal to you and your named guests and cannot be transferred or resold.
13. Payment
- Payment is taken in full at checkout through our payment partners. Your payment details are handled by them, not stored by Herivium (see our Privacy Policy).
- If a payment fails or is later reversed, the booking is cancelled.
- The charge on your statement will appear as Herivium Limited or as described at checkout.
14. Attending your Experience
- Present your visit PIN or QR code at the venue or to the Vendor’s representative. Redemption confirms your attendance.
- Arrive at the scheduled start time. Vendors are not obliged to admit late arrivals or extend an Experience because of late arrival.
- You must follow the Vendor’s rules of conduct, safety instructions and any age, dress or photography restrictions shown on the listing. Vendors may refuse admission or remove guests whose behaviour is unsafe or abusive, without refund.
- Some Experiences may require you to sign the Vendor’s own waiver or release on arrival.
15. Cancellations, refunds and no-shows
Cancellations, refunds, no-shows and Vendor cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. The cancellation policy that applies to each booking is shown on the listing and at checkout before you pay.
16. Reviews
You may leave a review only for Experiences you have redeemed. Reviews must be honest and based on your own visit. We may remove reviews that breach section 3 or that we reasonably believe are fake, incentivised or posted to harm a Vendor.
17. Problems during your visit
If an Experience is materially different from its listing, or the venue is closed when you arrive, contact us at info@herivium.com or +234 808 879 7704 within 48 hours. We will review the matter with the Vendor and, where appropriate, arrange a refund or reschedule.
Part C — Vendor terms
18. Vendor onboarding
- To list on Herivium you must complete our onboarding, provide accurate business, contact and bank details, and any licences or permits required to operate your Experiences.
- We may verify your information and may decline or remove a listing at our discretion, including where a listing is inaccurate, unsafe, unlawful or inconsistent with Herivium’s purpose as a cultural and heritage platform.
- You must keep your details up to date and tell us promptly of any change that affects your ability to deliver Experiences.
19. Listings
- You are responsible for the accuracy of your listings, including descriptions, photos, prices, capacity, opening times, start times and any restrictions.
- You must hold the rights to any content you upload and grant Herivium a licence to display it on the Platform and in marketing.
- Photos must be of the actual venue or Experience.
- You must select one cancellation policy (Free cancellation, Moderate or Non-refundable) for each listing, as defined in the Refund & Cancellation Policy. Herivium may require a less restrictive policy for certain listing types and may set the default policy for new listings.
20. Honouring bookings
- You must honour every confirmed booking and admit customers who present a valid visit PIN or QR code, redeeming it at the point of admission.
- You must not redeem a PIN or QR code for a customer who has not attended, or ask customers to pay additional amounts for what is included in the listing.
- If you must cancel a booking, tell Herivium and the customer as soon as possible. The customer will receive a full refund regardless of your cancellation policy. Where a cancellation is not due to weather, safety, government directive or other circumstances outside your control, Herivium may charge you a cancellation fee of up to 25% of the booking value and may apply the fee against your next settlement. Repeated cancellations may lead to removal from the Platform.
21. Payment and settlement
- Herivium sells bookings to customers and pays you for Experiences delivered. The amount payable to you, Herivium’s fee, and settlement timing are set out in your Vendor Agreement.
- A booking becomes payable to you when it is redeemed via PIN or QR code. Unredeemed bookings are not settled. Bookings refunded to the customer under the Refund & Cancellation Policy are settled at the Vendor’s retained share, if any, as set out in the Vendor Agreement.
- Settlements are paid to the bank account you registered. You are responsible for any taxes on amounts you receive.
- Herivium may withhold or reverse settlement where a booking is disputed, charged back or suspected to be fraudulent, until the matter is resolved.
22. Vendor obligations
You must:
- hold all licences, permits, insurance and approvals required to operate your Experiences lawfully and safely;
- comply with applicable health, safety, consumer protection and data protection laws;
- use customer data received from Herivium only to fulfil the booking, keep it secure, and not contact customers for marketing without their consent;
- respond to Herivium’s queries about a booking or customer complaint within 2 business days;
- not discriminate against customers on any unlawful basis.
23. Vendor liability
You are responsible for the delivery and safety of your Experiences and will compensate Herivium for any claim, loss or cost arising from your Experiences, your listings, your breach of these Terms, or your breach of law.
24. Ending the vendor relationship
Either party may end the vendor relationship on 30 days’ written notice. Herivium may suspend or remove listings immediately for breach of these Terms, safety concerns, repeated cancellations or customer complaints, or legal requirements. Confirmed bookings for dates after termination must be honoured or cancelled with full refunds to customers.
